Deadline for the approval of the annual accounts and application of results
We hereby inform the business community and other interested parties that the deadline for the approval of companies' accounts by the General Assembly and application of the results for the year is approaching. According to the Commercial Code, General Meetings must take place within four months immediately following the end of each fiscal year to resolve, among other points, the balance sheet and management report for the year as well as the application of results.
Companies whose fiscal year coincides with the calendar year, i.e., from 1 January to 31 December must approve their accounts by 30 April of the current year.
In addition, the calling notice must indicate the documents available at the head office for consultation by the quotaholders, at least 15 days before the ordinary General Meeting for quota companies. For share companies, the reporting documents must be sent to the shareholders together with the calling notice 30 days prior to the meeting. It is also mandatory for share companies to publish the reporting documents at least ten days before the date set for the ordinary General Meeting.
Timely compliance with this obligation is essential to ensure good corporate governance and legal compliance as well as transparency in business management.
