Michael Ceita has been involved in providing assistance on matters related to multidisciplinary roles, particularly in the areas of corporate, regulatory, commercial, acquisitions and mergers, private investment, foreign exchange, and employment law.

Experience has included:

  • Lawyer and responsible for management and coordination of a law office in Luanda.
  • Advising various national and international clients in the telecommunications, oil industry, banking, real estate, public procurement sectors, mergers and acquisitions processes, private investment, and restructuring of corporate groups.
  • Assisting clients in contract negotiations, including, specialized services, leasing, sale purchase and concession. In particular, representation of a cliente in the negotiation of the concession contract for the Port of Luanda's multipurpose terminal and a group in the negotiation of the operation and management of a Supermarket chain with the Angolan State.
  • Current assistance to several companies in the oil sector, operators and service providers as well as the regulatory entity, ANPG, with the issue of legal opinions, contract revision (PSA), support in regulatory aspects, license concessions, company restructuring, credit recovery.
  • Negotiation and submission of private investment projects and preparation of memorandum on investment vehicles in Angola, capital repatriation and restructuring of private investment projects.
  • Drafting and reviewing employment contracts as well as all documentation of a labor nature, such as internal regulations, Conduction and instruction of disciplinary proceedings, support with the hiring and permanence of foreign workers, namely in the processes of granting and renewing work and investor visas.
  • Due diligences in the context of company mergers and acquisitions.
  • Responsible for the management and coordination of the Mobility Department and support the legal department: creation and definition of internal policies and regulations.
  • Management and control de expat work force in the company, represent the company before the relevant authorities ((MIREMPT/ MINEA/ MINSA / MAPTSS).
  • Support with the hiring of national and expatriate workers and the drafting of employment contract models, namely, situations of indefinite or fixed-term employment.
  • Support in the prevention and follow-up of work accidents and occupational diseases, as well as in the validation and implementation of applicable rules regarding health, hygiene and safety at work.
  • Assistance in the restructuring of the company, in the scope of collective dismissal procedures, job terminations and, in general, in negotiation processes of employment contract revocation agreements by mutual agreement; ensuring processes of issuing, renewing work, investor and short term visas.
  • Representing the company in legal proceedings, negotiating contract reviews.
  • Corporate and Commercial Law: General advisory services to several companies operating in the Angolan market; Participation in negotiation and drafting of several corporate contracts, by-laws, shareholders' agreements, acquisitions of shareholdings; support and monitoring of international clients in processes of incorporation, restructuring and transformation of companies.
  • Private Investment: Drafting and negotiation of foreign investment projects; drafting memorandums on investment vehicles in Angola, repatriation of capital and restructuring of investment projects; registration of branches and representative offices.
  • Labor: Advice on labor disputes involving several companies with activities in Angola; drafting of employment contract termination agreements, internal regulations, labor contracts, disciplinary procedures; collective dismissal proceedings.
  • Banking and Finance: Advising financial institutions operating in Angola; advising one Russian bank in the financing operation to the Angolan State in the amount of one billion dollars, having taken responsibility for representing the client before the Ministry of Finance and the National Bank of Angola.

  • Member of the Commission for the revision of the current General Labor Law - Law 7/15 of June 15
