Marion van Dorssen joined ESI in 2019. She advised on various commercial matters including, business transactions, shareholding structures and investments with a focus on private equity and venture capital firms. She also advised on labor law issues, environmental legislation and compliance, and mining matters.
Marion currently holds the position of Risk and Compliance Associate, attending to all matters related to risk and compliance in accordance with relevant legislation.
She furthermore attends to the marketing and business development of ESI in collaboration with DLA Piper.
Her experience has included advising on:
- Various commercial law matters including business transactions, shareholding structures, and investments, with a focus on private equity and venture capital firms.
- Labour law and related issues.
- Environmental legislation and compliance in Namibia.
- Various matters relating to mining in Namibia, including legal services to both local and international clients in relation to applications, renewals and transfers of mining licenses.
- Several international companies in relation to investments and/or acquisition of business interests in Namibia.
- And drafting comprehensive written opinions for various local and international clients on matters pertaining to commercial law; labour law; cryptocurrency and the applicable legislation thereto.
- And undertaking due diligences for various international entities.
- And attending to debt collection for a large commercial financial institution.
- A merger transaction for a major retail store.
- And assisting with a comprehensive legal opinion in respect of bi-lateral investment treaties between Namibia and Germany/Netherland.
- On and drafting various contracts such as but not limited to association agreements; shareholders agreements, sale of shares, sale of business agreements; subscription agreements; loan agreements; lease agreements; substitution agreement; extension agreements; reinstatement agreements.
She further attends to:
- All internal risk and compliance matters, such as, regulatory compliance with the Financial Intelligence Centre (FIC), Receiver of Revenue, Social Security Commission, Employment Equity Commission, BIPA, Law Society of Namibia; internal risk audits; KYC procedure implementation; FIA/KYC training; sanctions screenings; etc.
- Analysis and implementation of improved risk and compliance procedures in line with current legislation.
- Internal risk and compliance assessments.
- Assistance with KYC documentation collection and file activation.
- Attending to filing suspicious transaction and suspicious activity reports with the FIC via their goAML website.
- Compilation and submission of various bid documents.
- Responsible for business development, including global marketing initiatives, including drafting, design and finalization of various documents in relation to ESI’s business development.
- Responsible for content creation and managing ESI’s business endeavours across its social media platforms.
