Dehan is an associate in the commercial department at ESI. His main focus areas include banking and finance, project financing, mining law, mergers and acquisitions, employment law and general commercial matters.
His experience has included advising:
- The Government of the Republic of Namibia (through the Africa Legal Support Facility) on the negotiation and implementation of its first green hydrogen bid in the development of the Southern Corridor Development Initiative.
- And assisting a foreign bank on the establishment of a banking institution in Namibia.
- And conducting a key issues legal due diligence on behalf of a TSXV listed graphite mining entity in respect of the acquisition by it of 100% of the shares in a local graphite mining entity and local graphite processing entity, including the review of a sale and purchase agreement and lease agreement in respect of the transaction and advising on all aspects of the acquisition including all regulatory approvals required to implement the transaction.
- And conducting a legal due diligence for an international petroleum company on various areas of law, including constitutional, petroleum, taxation, exchange control, investment, labour, environmental, corporate structure and antibribery/money laundering laws.
- On regulatory compliance matters for local and international corporate clients under the Companies Act 28 of 2004, the Competition Act 2 of 2003 and the Labour Act 11 of 2007.
- On a multinational retail entity with the establishment of business operations in Namibia.
- Clients on commercial transactions and regulatory compliance.
- Mining companies on various regulatory and commercial issues.
- Lenders and borrowers in project financing transactions in Namibia.
