Catherine Lutalo Nakatudde is a commercial lawyer, and her core practice areas include corporate and commercial law, capital markets (regulation and transactions), and banking and financial law and legal and regulatory compliance. Catherine advises corporate, and financial entities on a wide range of legal, regulatory and transactional matters, working with in-house counsel, within the business operation and as local counsel.

Experience has included advising:

  • Access Bank on its acquisition of an 80% stake in Uganda's Finance Trust Bank Ltd.
  • MTN Group SA and the listed MTN Uganda for the disposal of a 7% equity stake on the public capital markets.
  • M-Kopa Uganda on a corporate reorganisation by which M-Kopa Uganda created a new sales and distribution company [M-Kopa Sales], including transferring the distribution business to the new company.
  • Financial Sector Deepening Uganda, in partnership with the Mastercard Foundation, on funding of various tier 3 and tier 4 financial institutions that serve micro and small enterprise institutions under the micro and small enterprise recovery fund aimed at building the institutions resilience and capacity to ease their liquidity challenges developed due to the adverse effects of the COVID-19 pandemic.
  • A leading financial institution for a US$ 44 million corporate debt refinancing and restructuring.
  • A venture capital firm on financing a senior secured revolving working capital million dollar facility to a local asset financing company for onward loan disbursement to clients seeking to purchase motorcycles.
  • Stanbic Uganda Holdings on the implementation of its Phase II corporate reorganization entailing the separation of the Ugandan banking entity, establishment of specialist business subsidiaries and acquisition of a securities and investment banking business.
  • Bank of Uganda on various legal audits and due diligence assignments for entities seeking to be approved as shareholders and / or directors of licensed financial institutions.
